1.Acceptance of Terms
By accessing, browsing, registering for, or otherwise using the Atelier platform ("Platform"), operated by Zeraynce ("Company", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions ("Terms") and our Privacy Policy. These Terms constitute a binding legal agreement between you and Zeraynce. If you do not agree to any part of these Terms, you must immediately discontinue your use of the Platform. Your continued use of Atelier after any modification to these Terms constitutes your acceptance of the revised Terms.
Age Requirement
You must be at least 18 years of age to use the Platform. By using Atelier, you represent and warrant that you are 18 years of age or older. If you are using the Platform on behalf of a business or organization, you represent that you have the legal authority to bind that entity to these Terms.
Electronic Agreement
You acknowledge that your acceptance of these Terms via electronic means (including clicking "I agree" or by continuing to use the Platform) constitutes a valid and binding agreement equivalent to a written signature under applicable law.
2.About Atelier
Atelier is a premium creative directory and professional service operating system developed and maintained by Zeraynce. The Platform is designed exclusively for verified photographers, videographers, graphic designers, creative directors, and creative studios (collectively, "Creatives") and the clients who seek to engage their services ("Clients"). Atelier provides tools for creative profile management, portfolio presentation, client inquiry handling, project bookings, private messaging, invoicing, and workspace collaboration.
Platform Scope
Atelier facilitates connections between Creatives and Clients. It is not an employment agency, staffing firm, or direct hiring platform. The Platform does not employ Creatives and is not a party to any service agreement formed between a Creative and a Client through the Platform.
Verification and Curation
Creatives listed on Atelier are subject to an identity verification and quality review process managed by Zeraynce. Verification signifies that a Creative has passed our identity checks; it does not constitute an endorsement, guarantee, or warranty of the Creative's work quality, fitness for a particular purpose, or professional conduct beyond our stated standards.
3.Accounts and Access
To access most features of the Platform, you must create a user account by providing accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@zeraynce.com of any unauthorized use of your account or any other breach of security.
Account Accuracy
You agree to keep your account information — including your name, email address, business name, and professional details — accurate and up to date at all times. Providing false, misleading, or fraudulent information is a material breach of these Terms and may result in immediate account suspension or termination.
Account Security
You are solely responsible for all activity that occurs under your account. Zeraynce is not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to maintain adequate security of your credentials. You must not share your account credentials with third parties.
One Account Per User
Each individual or organization may maintain only one account on the Platform unless express written permission is granted by Zeraynce. Creating duplicate or fraudulent accounts to circumvent suspensions, bans, or usage restrictions is strictly prohibited.
4.User Responsibilities
All users of the Platform — both Creatives and Clients — are expected to conduct themselves professionally and in accordance with these Terms, our Community Guidelines, and all applicable laws and regulations. You are solely responsible for your conduct, the content you submit, and any consequences resulting from your actions on the Platform.
Lawful Use
You agree to use the Platform solely for lawful purposes. You may not use Atelier for any illegal activity, to facilitate the violation of any applicable law or regulation, or in any manner that could harm Zeraynce, other users, or third parties.
Professional Conduct
You agree to interact with other users in a respectful and professional manner. Harassment, discrimination, threats, defamation, and any form of abusive behavior toward other users is strictly prohibited and constitutes grounds for immediate account termination.
Accurate Representation
You agree not to misrepresent your identity, qualifications, experience, or the nature of your services. Creatives must accurately represent their portfolio content as their own original work. Using another creative's work in your portfolio without proper authorization is a violation of these Terms.
5.Listings, Content, and Data
You retain full ownership of all content — including photographs, videos, text, designs, logos, and other creative materials — that you upload, post, or submit to the Platform ("User Content"). By submitting User Content to Atelier, you grant Zeraynce a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, and create derivative works of your User Content solely for the purposes of operating, promoting, and improving the Platform.
Content Standards
All User Content must comply with our Community Guidelines. Content that is illegal, obscene, defamatory, threatening, harassing, or otherwise objectionable is prohibited. Zeraynce reserves the right to remove any content that violates these Terms without notice.
Portfolio Authenticity
Creatives represent and warrant that all portfolio content is original work they personally created or have full legal authorization to display. Uploading content that infringes upon the intellectual property rights of third parties is a material violation of these Terms and applicable copyright law.
Data Usage
Zeraynce may collect and use anonymized, aggregated data derived from your use of the Platform for analytics, product improvement, and internal business intelligence purposes. This use does not identify you personally and is governed by our Privacy Policy.
6.Bookings and Inquiries
The Atelier Platform facilitates connections and communications between Creatives and Clients through an inquiry and booking system. When a Client submits an inquiry or books a project through Atelier, this initiates a direct communication channel between the Client and the Creative. Zeraynce is not a party to any resulting service agreement, contract, or arrangement between a Creative and a Client.
Direct Agreements
All project terms, deliverables, timelines, creative briefs, revisions, and payment arrangements are negotiated and agreed upon directly between the Creative and the Client. Zeraynce does not mediate, arbitrate, or adjudicate disputes arising from such arrangements unless they involve a violation of these Terms.
Booking Confirmation
A booking is considered confirmed only when both the Creative and Client have mutually agreed to the project terms. Atelier's booking tools are provided as a convenience; they do not create a legally binding obligation on behalf of either party until explicit mutual agreement has been reached.
Cancellation and Refunds
Cancellation policies, refund terms, and rescheduling arrangements are governed solely by the agreement between the Creative and the Client. Zeraynce does not process refunds for work performed, deposits paid, or services delivered through the Platform.
7.Payments and Invoicing
Atelier provides invoice generation and financial management tools to assist Creatives in documenting and communicating payment terms to their Clients. These tools are provided as a productivity aid and do not constitute Zeraynce acting as a payment processor, financial institution, or financial intermediary between Creatives and Clients.
No Payment Processing
Zeraynce does not process, hold, or transmit funds between Creatives and Clients. All payment transactions are conducted directly between the Creative and the Client through their mutually agreed payment methods. Zeraynce is not responsible for payment disputes, failed transactions, or non-payment.
Invoice Accuracy
Creatives are solely responsible for the accuracy of invoices generated through the Platform, including pricing, descriptions, tax calculations, and currency representation. Zeraynce is not responsible for errors in user-generated invoices or for any tax obligations arising therefrom.
Subscription Fees
Access to certain premium features of the Platform may require payment of a subscription fee to Zeraynce. All subscription fees are non-refundable unless otherwise required by applicable law. Subscription terms, pricing, and billing cycles are detailed on our Pricing page and may be updated with reasonable notice.
8.Confidentiality
By using the Platform, you may gain access to non-public information about other users, including Client project details, creative briefs, budget ranges, and business information shared in confidence during the inquiry and booking process. You agree to treat all such information as strictly confidential and to use it solely for the purpose for which it was disclosed.
Non-Disclosure Obligation
You agree not to disclose, share, publish, or otherwise make available any confidential information received through the Platform to third parties without the express written consent of the disclosing party. This obligation survives the termination of your account and these Terms.
Platform Communications
Private messages, project discussions, and shared files within the Atelier workspace are intended to be confidential between the parties involved. Screenshots, forwarding, or public disclosure of private communications without consent is a violation of these Terms and may violate applicable privacy laws.
9.Intellectual Property
The Atelier Platform — including its name, logo, software, design system, interface, algorithms, databases, and all other components — is owned by Zeraynce and protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws. All rights not expressly granted to you in these Terms are reserved by Zeraynce.
Permitted Use
Zeraynce grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms. This license does not include the right to copy, modify, create derivative works of, distribute, publicly perform, or publicly display any portion of the Platform.
Prohibited Actions
You may not reverse engineer, decompile, disassemble, or attempt to extract the source code of the Platform. You may not scrape, crawl, or systematically collect data from the Platform without express written permission. You may not frame or mirror the Platform on any other website or application.
Trademarks
"Atelier", "Zeraynce", and all associated logos and product names are trademarks of Zeraynce. You may not use these marks in any manner without prior written approval from Zeraynce, including in marketing materials, domain names, or social media accounts.
10.Prohibited Conduct
In addition to the conduct standards outlined throughout these Terms, the following behaviors are expressly prohibited on the Atelier Platform. Violation of any of these prohibitions constitutes grounds for immediate account suspension, permanent termination, and may result in civil or criminal liability.
Platform Abuse
You may not engage in spamming, phishing, or any automated activity designed to overwhelm, disrupt, or exploit the Platform or other users. You may not attempt to gain unauthorized access to any part of the Platform, its servers, or connected databases.
Fraudulent Activity
You may not create fake profiles, submit fraudulent portfolio work, impersonate other individuals or entities, or engage in any deceptive practices designed to mislead Clients or other Creatives. Fraudulent bookings, fake reviews, or manipulated engagement metrics are strictly prohibited.
Circumvention
You may not attempt to circumvent any technical measures, access controls, or usage restrictions implemented by Zeraynce. You may not use the Platform to solicit other users to move transactions off-platform in order to avoid Platform fees or obligations.
11.Disclaimers
The Atelier Platform is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Zeraynce disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
Service Availability
Zeraynce does not guarantee that the Platform will be available at all times, uninterrupted, secure, or error-free. We may experience downtime for maintenance, updates, or due to circumstances beyond our control. Zeraynce is not liable for any loss or damage resulting from Platform unavailability.
Third-Party Content
The Platform may contain links to third-party websites or services. Zeraynce is not responsible for the content, accuracy, or practices of third-party sites and does not endorse any third-party products, services, or opinions. Your use of third-party sites is at your own risk.
12.Limitation of Liability
To the maximum extent permitted by applicable law, Zeraynce and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of, or inability to use, the Platform — including but not limited to loss of revenue, loss of profits, loss of business, loss of data, or loss of goodwill — even if Zeraynce has been advised of the possibility of such damages.
Aggregate Cap
In jurisdictions where limitation of liability is permitted, Zeraynce's total aggregate liability to you for any and all claims arising out of or related to these Terms or the Platform shall not exceed the greater of (a) the amount you paid to Zeraynce in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100).
Essential Basis
You acknowledge that the limitations of liability set forth in this section are a fundamental element of the basis of the bargain between you and Zeraynce. The Platform would not be provided to you without these limitations.
13.Indemnification
You agree to indemnify, defend, and hold harmless Zeraynce and its officers, directors, employees, agents, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Content; (c) your use of the Platform; (d) your violation of any rights of a third party; or (e) your violation of any applicable laws or regulations.
14.Termination
These Terms remain in effect as long as you maintain an account on the Platform or continue to use the Platform. Either party may terminate the agreement formed by these Terms at any time.
Termination by You
You may terminate your account at any time by using the account deletion feature in your account settings or by contacting Zeraynce support. Upon termination, your right to use the Platform will immediately cease. Certain obligations under these Terms — including confidentiality, intellectual property provisions, and indemnification — shall survive termination.
Termination by Zeraynce
Zeraynce reserves the right to suspend or permanently terminate your access to the Platform at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination by Zeraynce for cause, you will not be entitled to any refund of any fees paid.
Effect of Termination
Upon termination of your account, Zeraynce may delete your account data and User Content in accordance with our data retention policies and applicable law. We recommend that you export or save any data you wish to retain prior to account termination.
15.Governing Law
These Terms and any disputes arising out of or relating to them or the Platform shall be governed by and construed in accordance with the laws of the jurisdiction in which Zeraynce is incorporated, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Zeraynce's principal place of business.
Dispute Resolution
Before filing any formal legal claim, you agree to attempt to resolve the dispute informally by contacting Zeraynce at legal@zeraynce.com. We will make reasonable efforts to resolve the dispute within 30 days of receipt of written notice. If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body in Zeraynce's jurisdiction.
No Class Actions
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of any class, consolidated, or representative action. You waive your right to participate in any class action lawsuit or class-wide arbitration.
16.Changes to These Terms
Zeraynce reserves the right to modify these Terms at any time in its sole discretion. When we make material changes to these Terms, we will provide notice through the Platform, via email to the address associated with your account, or by updating the "Last Updated" date at the top of this document. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must discontinue using the Platform and may terminate your account.
